Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by HUBCOM TECHNOLOGY COMPANY LIMITED ("HubCom", "we", "us", or "our"), including our website at hubcom.tech and all related services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

HubCom provides custom software development, IT infrastructure solutions, managed IT support, and related technology consulting services. The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate Statement of Work (SOW) or service agreement between you and HubCom.

3. Client Obligations

  • Provide timely access to necessary information, systems, and personnel required for project execution
  • Review and provide feedback on deliverables within the agreed timeline
  • Ensure that all content, data, and materials provided to HubCom do not infringe on any third-party intellectual property rights
  • Maintain the confidentiality of any credentials or access provided by HubCom
  • Make payments according to the agreed payment schedule

4. Intellectual Property

Upon full payment, all custom software, designs, and deliverables created specifically for the client will be transferred to the client as specified in the SOW. HubCom retains the right to use general tools, frameworks, libraries, and methodologies developed independently. Pre-existing intellectual property of either party remains the property of its respective owner.

5. Payment Terms

Payment terms are specified in the individual SOW or service agreement. Unless otherwise agreed: (a) invoices are due within 15 business days of issuance; (b) late payments may incur a 1.5% monthly interest charge; (c) HubCom reserves the right to suspend services if payment is overdue by more than 30 days. All prices are in the currency specified in the SOW and are exclusive of applicable taxes.

6. Warranties and Disclaimers

HubCom warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a warranty period as specified in the SOW (typically 30-90 days after delivery) during which we will fix defects at no additional cost. EXCEPT AS EXPRESSLY STATED HEREIN, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

7. Limitation of Liability

To the maximum extent permitted by law, HubCom's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim in the 12 months preceding the claim. HubCom shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This includes but is not limited to: business strategies, technical specifications, source code, client data, and financial information. This obligation survives the termination of any agreement for a period of 3 years.

9. Termination

Either party may terminate a service agreement with 30 days written notice. In case of material breach, the non-breaching party may terminate immediately upon written notice if the breach is not cured within 15 days. Upon termination, the client shall pay for all services rendered up to the termination date, and HubCom shall deliver all completed work product.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from these Terms shall be resolved through negotiation first, and if unsuccessful, through the competent courts of Ho Chi Minh City, Vietnam.

11. Changes to Terms

HubCom reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the updated terms.
